Terms of Service
Effective September 9, 2026 · Version 2026-09-09
1. Agreement and authority
These Terms of Service (“Terms”) are an agreement between Amaryllis Software LLC, doing business as Technical Fieldcraft (“Technical Fieldcraft,” “we,” “us,” or “our”), and the organization on whose behalf the Service is used (“Customer,” “you,” or “your”).
By creating an account, accepting these Terms, or using the AI Opportunity Assessment service (the “Service”), you agree to these Terms. You represent that you are at least 18 years old and have authority to bind Customer. If you lack that authority or do not agree, do not use the Service.
2. The Service
The Service is a structured assessment, planning, and reporting tool that helps organizations evaluate readiness to adopt artificial intelligence. It organizes information supplied by Customer; it does not provide legal, financial, cybersecurity, regulatory, employment, or other professional advice. Customer remains responsible for its decisions, actions, and results.
3. Accounts and authorized users
- Customer must provide accurate account information and keep it current.
- Customer is responsible for its authorized users, their use of the Service, and the confidentiality of their credentials.
- Information is maintained for Customer’s organization and may be available to other users authorized to access that organization.
- Customer must promptly notify us at support@technicalfieldcraft.com of suspected unauthorized account access.
4. Acceptable use
Customer and its authorized users must not:
- use the Service or submit content in violation of law or another person’s rights;
- attempt to access another organization’s data or any nonpublic part of the Service;
- probe, disrupt, overload, or circumvent the security or operation of the Service;
- introduce malicious code or use automated extraction tools without our written consent;
- reverse engineer or attempt to derive source code, except where applicable law prohibits this restriction; or
- use the Service to build or benchmark a competing product.
5. Customer Content
“Customer Content” means information Customer or its authorized users submit to the Service, including business profiles, assessment responses, notes, plans, opportunity descriptions, risks, and workshop deliverables. As between the parties, Customer retains all ownership rights in Customer Content.
Customer grants us a nonexclusive, worldwide, royalty-free license to host, store, copy, back up, transmit, display, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and maintain the Service; comply with law; and enforce these Terms. This license ends when the applicable Customer Content is deleted from our systems, subject to legally permitted retention and ordinary backup processes.
Customer represents that it has the rights and authority needed to provide Customer Content and permit this processing, including for information about employees or other individuals.
6. Confidential business information
Customer Content may include commercially sensitive and strategic information that could harm Customer if disclosed to a competitor. We treat nonpublic Customer Content as Customer’s confidential information (“Customer Confidential Information”).
We will:
- use Customer Confidential Information only for the purposes allowed by these Terms;
- protect it using at least reasonable care and no less care than we use for our own confidential information of a similar nature; and
- disclose it only to personnel and service providers who need it for those purposes and are subject to appropriate confidentiality obligations, or as Customer directs.
We will not sell Customer Content, use it to compete with Customer, use it to train artificial intelligence models, or send it to third-party artificial intelligence services for automated analysis.
Customer Confidential Information does not include information that Customer makes public, we lawfully knew without a confidentiality duty, we independently develop without using Customer Confidential Information, or we lawfully receive from another source without a confidentiality duty.
We may disclose Customer Confidential Information when required by law or valid legal process. Where legally permitted, we will give Customer reasonable notice and reasonable assistance, at Customer’s expense, if Customer seeks to limit the disclosure.
7. Security and restricted data
We use reasonable administrative, technical, and organizational safeguards designed to protect Customer Content against unauthorized access, loss, misuse, alteration, or disclosure. No system is completely secure, and we do not guarantee absolute security. We will notify affected customers of a confirmed unauthorized disclosure of Customer Content when required by applicable law.
The Service is not designed to store government identification numbers, financial account credentials, payment-card data, protected health information, biometric identifiers, or similarly sensitive or specially regulated data. Customer must not submit such data unless we have expressly agreed in writing to support it.
8. Service providers, privacy, and data rights
We may use service providers for hosting, authentication, security, communications, and support. They may process Customer Content only as needed to provide services to us and subject to appropriate obligations. Information may be processed in the United States.
Our Privacy Policy explains how we handle personal information and is incorporated into these Terms. Authorized users may use available account tools to export organization data or submit a deletion request. Deletion requests may require identity, authority, and scope verification and are not necessarily completed immediately. We may retain limited information as reasonably necessary for legal, security, backup, fraud-prevention, dispute, and audit purposes.
9. Our technology and feedback
We and our licensors retain all rights in the Service, including its software, designs, documentation, and branding. No rights are granted except the limited right to use the Service under these Terms. If Customer provides feedback, Customer grants us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or obligation, provided we do not identify Customer or disclose Customer Confidential Information.
10. Changes, availability, and suspension
We may modify the Service and do not guarantee uninterrupted or error-free availability. We may suspend access when reasonably necessary to address security or legal risk, prevent harm, respond to a violation of these Terms, or maintain the Service. Where practical, we will provide notice and an opportunity to cure.
11. Termination
Customer may stop using the Service at any time and may request account or data deletion through available account tools or by contacting support. We may terminate access for a material breach, legal requirement, security risk, or discontinuation of the Service. Provisions that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, indemnity, liability limits, and dispute terms.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ITS OUTPUTS WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR SUITABLE FOR CUSTOMER’S PARTICULAR PURPOSE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHNICAL FIELDCRAFT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWED FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory and are an essential basis of the agreement. They do not limit liability that cannot lawfully be limited.
14. Indemnification
Customer will defend, indemnify, and hold harmless Technical Fieldcraft and its officers, employees, and contractors from third-party claims, damages, losses, and reasonable legal fees arising from Customer Content, Customer’s violation of law or another person’s rights, or Customer’s material breach of these Terms. We will promptly notify Customer of a claim, provide reasonable cooperation at Customer’s expense, and allow Customer to control the defense and settlement, except Customer may not admit fault by or impose obligations on us without our written consent.
15. Changes to these Terms
We may update these Terms to reflect changes to the Service, our practices, or applicable law. We will post the revised Terms and update the effective date. If a change is material, we will provide additional notice when required by law. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
16. Governing law and venue
Texas law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in Texas have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to their personal jurisdiction and venue.
17. General terms and contact
Customer may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets. These Terms and the incorporated Privacy Policy are the entire agreement about the Service and supersede prior discussions on that subject. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. Headings are for convenience only.
